If you do not agree to all of these Terms of Use, you are not authorized to use or access the Services.

The Services are provided by Flowcite GmbH ("Flowcite", "we", "us" and "our"). "You", "your" and "user" refer to any person or entity using the Services. We may revise these Terms of Use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they bind you. Unless otherwise explicitly specified by Flowcite, all materials that are included in or otherwise a part of the Services, including past, present, and future versions, domain names, source and object code, the look, site design, logos, graphics, bibliographic and citation information, citation guides, icons, as well as the selection, assembly and arrangement thereof and the "look and feel" of the Services (collectively, "Flowcite Content"), are owned, controlled, or licensed by Flowcite or Flowcite's third-party licensors and are protected from unauthorized copying and dissemination by EU copyright laws, trademark laws, international conventions, and other intellectual property laws. Flowcite Content is protected by copyrights or other applicable laws as Flowcite Content. Portions of the bibliographic and citation content included in the Services are supplied by third parties.

Any unauthorized use of the Flowcite Content may violate copyright laws, trademark laws, the laws of privacy and publicity, and applicable communications regulations and statutes. Except as expressly provided in these Terms of Use, Flowcite Content.

SOFTWARE LICENSE AND SERVICES

Subject to your compliance with these Terms of Use, Flowcite hereby grants you a personal, non-exclusive, non-commercial, revocable and non-transferable license to use the Services in accordance with these Terms of Use.

Access the Services via mobile application, software application or Internet connection for the purpose of managing your academic and research papers and products.

• Access academic journals and other sources for use in academic and research needs.
• Manage citations and references in accordance with the Services.
• Access additional services such as proof reading, plagiarism check, and others.

Per these Terms of Use, and unless expressly permitted by local law, you represent that:

• You will only use Flowcite Services in accordance with these Terms of Use.
• You will not use the Site or Services for any illegal purpose.
• You will not reverse engineer or copy Flowcite Content and Services.
• You will not access or attempt to download more material than necessary for any purpose other than what supporting your academic or research work.

Flowcite does not oversee, monitor, or otherwise guarantee any content accessed via the Site or Services and provides no warranties with regard to such content. Flowcite does not provide a license or right to access or use any Services or Flowcite Content. you may regard that subscription to or licensee of access to Service Content. you may regard that subscription to or licensee of access to such information that is currently available without charge, may change in the future. We provide no guarantee or warranty either expressed or implied that information available now will continue to be available in the future. We reserve the right to access your account in order to respond to your requests for technical support.

You will not copy, reproduce, modify, republish, download, upload, post, transmit, or distribute materials from the Services in any form or by any means without Flowcite's prior written permission or as expressly provided herein.

ACCEPTABLE USE

Our Services may only be used for lawful and ethical purposes. Users are not permitted to plagiarize or otherwise copy any content presented within the Site and Services for their own use without crediting and identifying the original author of said content. The agree that you will not post:

• User Content that may infringe upon, violate, transfer, copyright, market, copyright of intellectual or proprietary rights of any party, in any manner.
• User Content that constitutes, encourages or provides instructions for a criminal offense, violates the rights of any party, or that would otherwise create liability or violate any local, state, national or international law.
• User Content that contains intentionally false or misleading statements.
• User Content that includes the personal information of any other person, including phone numbers, addresses, or financial information without explicit consent.

User Content is, but not limited to, in the sole judgment of Flowcite: (a) violates the previous subsections herein, (b) is objectionable, (c) which involves or initiates any other person from using or enjoying the Site or the Services, (d) speeds or supports fraud, hacking, inflammatory, or incendiary speech or content, (e) promotes sexually explicit or violent content, (f) abuses or harasses any person other than ourselves on the Site, (g) which exposes Flowcite or its other users to any harm or liability of any kind.

ACCOUNT AND TERMINATION

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms of Use, which may result in immediate termination of your account on our Services.

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account.

If we determine, in our sole discretion, that you have breached or failed to comply with these Terms of Use or our Privacy Policy, or for any reason related to misconduct that is unrelated to your conduct on our Services, we may at any time and without prior notice or liability:

• Issue a warning to you;
• Suspend your account or any of its functions, including incoming or outgoing emails;
• Permanently terminate your account.

PAYMENT AND FEES

Payments are collected on our behalf by Stripe Inc. To the extent the Services or any portion thereof is made available for any fee, you will be required to select a payment plan and provide us information regarding your credit card or other payment instrument. You represent and warrant to us that such information is true and that you are authorized to use the payment instrument. You will promptly update your account information with any changes that may occur (for example, a change in your billing address or credit card expiration date) that may affect your agreement with us. You agree to pay us the amount that is specified in the payment plan in accordance with the terms of such plan and these Terms of Use. You hereby authorize us to bill your payment instrument in advance on a periodic basis in accordance with the applicable payment plan until you terminate your account, and you further agree to pay any charges so incurred. If you dispute any charges you must let us know within sixty (60) days after the date that we charge you. Your continued use of the Services after the price change comes into effect constitutes your agreement to pay the changed amount.

REFUND AND CHARGEBACK

We will not, under any circumstances, issue cash refunds for paid subscription cancellation. If you have a dispute about your account, please contact us immediately. If the charges were made in credit, we will credit your account or provide store credit, as appropriate. If we deny a refund, in addition to making the payment in full per the agreement, the Service is renewed and you have your full intent to extend the Services for the next agreed-upon Service period.

DISCLAIMER OF WARRANTY

THE SERVICES, AND ALL SERVER AND NETWORK COMPONENTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR EQUIVALENT QUALITY OR YOUR DATA ON OUR SERVICES OR SECURITY ASSOCIATED WITH THE TRANSMISSION OF SENSITIVE INFORMATION. WE DO NOT ACKNOWLEDGE THAT WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR VIRUS-FREE; THAT DEFECTS WILL BE CORRECTED; NOR DO WE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES; NOR DO WE MAKE ANY WARRANTY AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES.

INDEMNIFICATION

You agree to indemnify and hold us, and our respective employees, directors, officers, and agents harmless from any claims, expenses or demands, including reasonable attorneys' fees, arising directly or indirectly out of your misuse of the Services, (i) your violation of these Terms of Use, (ii) your infringement of any intellectual property or other right of any individual or entity, or (iii) any other action by you. Should you become subject to any matter arising from your use of the Services or any breach hereunder by you. We agree that you have sole control over all defense matters and exclusive right to seek and obtain damages against any other party that the matter may involve, and (iii) you have other rights, you should you have, to recover from such parties.

Our Services may contain links to third party web sites or services that are not owned or controlled by Flowcite.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You acknowledge and agree that Flowcite shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

LIMITATION OF LIABILITY

IN NO EVENT SHALL FLOWCITE BE LIABLE FOR ANY INDIRECT, ECONOMIC, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL LOSSES OR DAMAGES RELATED TO: (A) THE SERVICES; (B) DELIVERY OF THE PURPOSE OR USE OF, OR INABILITY TO USE, ALL OR ANY PORTION OF THE SITE; (C) ANY ACTIONS TAKEN IN CONNECTION WITH AN INVESTIGATION BY FLOWCITE OR LAW ENFORCEMENT AUTHORITIES REGARDING YOUR USE OF THE SITE OR THE SERVICES; (D) ACTIONS TAKEN IN CONNECTION WITH COPYRIGHT OR OTHER INTELLECTUAL PROPERTY OWNERS; (E) ANY ERRORS OR OMISSIONS IN THE SERVICES OR THE ANY SITE OR FILE; OR (F) ANY DAMAGE TO ANY USER'S COMPUTER, MOBILE DEVICE, OR OTHER EQUIPMENT OR TECHNOLOGY INCLUDING, WITHOUT LIMITATION, DAMAGES FROM ANY SECURITY BREACH FROM ANY VIRUS, BUGS, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR ANY OTHER MALFUNCTION, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, EVEN IF FORESEEABLE OR EVEN IF FLOWCITE HAS BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR TORT (INCLUDING, WITHOUT LIMITATION, WHETHER CAUSED IN WHOLE OR IN PART BY NEGLIGENCE, ACTS OF GOD, TELECOMMUNICATIONS FAILURE, OR THEFT OR DESTRUCTION OF THE SITE). IN NO EVENT SHALL FLOWCITE OR ITS PARENTS, SUBSIDIARIES, AFFILIATES, RELATED COMPANIES, SUPPLIERS, LICENSORS OR PARTNERS, BE RESPONSIBLE OR LIABLE TO YOU OR ANYONE ELSE, IN ANY WAY, FOR ANY DAMAGES INCURRED IN CONNECTION WITH OR ARISING FROM THESE TERMS OF USE OR THE SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

NOTHING IN THESE TERMS OF USE SHALL AFFECT ANY NON-WAIVABLE STATUTORY RIGHTS THAT APPLY TO YOU. THIS SECTION SHALL SURVIVE ANY EXPIRATION OR TERMINATION OF YOUR RELATIONSHIP WITH FLOWCITE.

GOVERNING LAW

These Terms of Use shall be governed and construed in accordance with the laws of Germany, without regard to any applicable conflict of law provisions.
